Terms of Service

1. Company Information
DemoDesk is operated by ADIX, registered in Belgium under company number BE0774.308.339.
2. Definitions
- • "DemoDesk" / "the Platform": the SaaS platform operated by ADIX.
- • "User": any individual or entity creating an account or accessing the Platform.
- • "Organization / Label": the entity that creates a workspace within DemoDesk and manages associated Users.
- • "Services": all functionalities offered through DemoDesk, including but not limited to demo review, metadata management, label copy generation, contract templates, file storage, and related tools.
3. Access and Accounts
- • Users must create an account to access the Services.
- • Users are responsible for providing accurate information and for keeping their login credentials confidential.
- • Organizations are responsible for managing access for their invited Users.
- • DemoDesk reserves the right to suspend or terminate accounts in case of misuse, violation of these Terms, or illegal activities.
4. User Responsibilities
Users remain solely responsible for all content uploaded to DemoDesk, including audio files, metadata, contracts, and documents. Users warrant that they own or have the necessary rights to all content uploaded.
Users must not:
- • Upload illegal, infringing, or harmful content.
- • Violate intellectual property rights of third parties.
- • Attempt to bypass or interfere with security or access systems.
5. Confidentiality
DemoDesk acknowledges that uploaded content (including demos, metadata, contracts) may be confidential. DemoDesk will not access, share, or disclose such content except as necessary to provide the Services or comply with legal obligations.
6. Subscriptions and Payment
- • DemoDesk operates on a subscription basis (monthly or yearly), processed securely via Stripe.
- • Prices are listed on the Pricing Page and are exclusive of VAT unless stated otherwise.
- • Payment is due in advance. Access may be suspended in case of late or failed payment.
- • No refunds are provided for partial subscription periods, except as required by law.
- • Free trials and pilot plans may be offered at DemoDesk's sole discretion and may be withdrawn at any time.
7. Intellectual Property
DemoDesk retains all rights, title, and interest in and to the Platform, including software, code, designs, and trademarks. Users and Organizations retain ownership of their uploaded content but grant DemoDesk a limited, non-exclusive license to process, store, and display such content solely for the purpose of providing the Services.
8. Data Protection & Privacy
- • DemoDesk processes personal data in accordance with applicable data protection laws, including the GDPR.
- • DemoDesk acts as a data processor, while the Organization/User acts as the data controller.
- • Sub-processors used include: Supabase, Cloudflare R2, Netlify, Stripe, and Google Workspace.
- • All data is encrypted in transit and at rest.

9. Data Retention and Termination
- • Users may terminate their subscription at any time via account settings.
- • Upon termination, access remains until the end of the billing period.
- • DemoDesk may terminate accounts for breach of these Terms.
- • Uploaded content will be permanently deleted 90 days after termination, unless required by law to retain data.
- • Users may request an export of their data prior to deletion.
10. Service Availability and Changes
- • DemoDesk aims to provide continuous availability but does not guarantee uninterrupted or error-free operation.
- • Features may be updated, modified, or discontinued at any time with or without notice.
- • Enterprise Service Level Agreements (SLAs) may be offered under separate contracts.
11. Third-party Services and Integrations
- • DemoDesk may offer integrations with third-party services (e.g. Dropbox, Fuga, Spotify).
- • DemoDesk is not responsible for the functionality, availability, or data handling of such third-party services.
- • Users use integrations at their own risk and subject to third-party terms.
12. Indemnification
Users agree to indemnify and hold harmless DemoDesk (ADIX) from any claims, damages, or liabilities arising from:
- • Content uploaded to the Platform,
- • Violation of these Terms,
- • Infringement of intellectual property or other rights of third parties.
13. Liability
- • The Services are provided "as is" without warranties of any kind.
- • To the maximum extent permitted by law, DemoDesk (ADIX) is not liable for indirect, incidental, or consequential damages, including but not limited to loss of data, profits, or business opportunities.
- • DemoDesk's total liability is limited to the amount paid by the User for the Services in the twelve (12) months preceding the claim.
14. Amendments
- • DemoDesk may amend these Terms from time to time.
- • Users will be notified at least 30 days in advance via email or in-app notification.
- • Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
15. Governing Law and Jurisdiction
- • These Terms are governed by Belgian law.
- • Any disputes will be submitted to the competent courts of Ghent, Belgium, unless mandatory law provides otherwise.
- • In case of translation, the English version of these Terms shall prevail.
16. Data Processing Agreement (DPA)
A Data Processing Agreement ("DPA") applies to all processing of personal data under these Terms. The DPA forms an integral part of these Terms of Service. By using the Services, you acknowledge and agree to the DPA.
